RankBoostUp Referral Program Agreement

Effective Date: January 2016

This Referral Program Agreement (the “Agreement“) is entered into between RankBoostUp (“Company,” “we,” “us“) and you, the participant in the RankBoostUp Referral Program (the “Affiliate,” “you“). By enrolling in or participating in the Referral Program, you agree to be bound by this Agreement.

1. Definitions

  • “Referral” — a new customer who registers for and/or purchases a RankBoostUp product or service as a genuine, voluntary result of clicking your Referral Link.
  • “Referral Link” — the unique tracking URL or referral code assigned to your account.
  • “Referral Cookie” — the tracking cookie set in a prospective customer’s browser when they knowingly click your Referral Link.
  • “Commission” — the amount payable to you for a Qualified Referral, as set out in Section 4.
  • “Qualified Referral” — a Referral that meets all conditions of this Agreement and is not disqualified under Section 5 or Section 6.

2. Enrollment and Relationship

2.1. Participation is at the Company’s sole discretion and may be suspended or terminated at any time as set out in Section 9.

2.2. You are an independent contractor. Nothing in this Agreement creates a partnership, employment, joint venture, or agency relationship. You have no authority to bind the Company.

2.3. You are solely responsible for any taxes arising from Commissions paid to you.

3. Permitted Promotion

3.1. You may promote RankBoostUp only through lawful means and only via channels you own or are authorized to use (e.g., your website, social media, email lists with proper consent, or paid advertising that complies with the relevant platform’s policies).

3.2. Every person who arrives via your Referral Link must do so through their own knowing, voluntary action — i.e., the customer must actually see and click a link or enter a code that they understand will attribute them to you.

4. Commissions

4.1. The Company will pay Commissions on Qualified Referrals at the rates published in your account dashboard or referral terms, as updated from time to time.

4.2. Commissions accrue only on completed, paid, non-refunded transactions. Commissions on refunded, charged-back, or fraudulent transactions are reversed.

4.3. Commissions are paid on the Company’s standard schedule, subject to any minimum payout threshold. The Company may withhold or delay payment pending fraud review under Section 6.

5. Prohibited Conduct — Cookie Stuffing, Clickjacking, and Forced Referrals

This Section is a material term of this Agreement.

5.1. Cookie Stuffing / Forced Cookies Prohibited. You must not cause a Referral Cookie, referral parameter, referral code, or any other attribution mechanism to be set in any person’s browser or session without that person’s knowledge and without their voluntary, informed click of your Referral Link. Without limitation, the following are strictly prohibited:

(a) Cookie stuffing / cookie dropping — setting, dropping, or writing a Referral Cookie via hidden iframes, invisible pixels, zero-size images, auto-loading scripts, pop-unders, redirects, prefetch, or any background request the user did not intentionally trigger;

(b) Clickjacking — overlaying, hiding, disguising, or framing the Referral Link or any UI element so that a user clicks it (or triggers it) without understanding that they are doing so, including transparent overlays, misleading buttons, or “forced clicks”;

(c) Cookie overriding / attribution hijacking — overwriting, replacing, or injecting your referral attribution over an existing, organic, or competing attribution, or attributing to yourself a customer who reached RankBoostUp independently of your genuine promotion;

(d) Auto-redirects and forced visits — automatically redirecting users through your Referral Link, or loading it without a deliberate user action;

(e) Injection — using browser extensions, toolbars, adware, malware, scripts, proxies, or any tooling that injects, rewrites, or appends referral parameters into a user’s traffic without that user’s informed consent.

5.2. Consent and Knowledge Standard. A Referral is only valid if the referred customer (i) took an affirmative action to follow your Referral Link, and (ii) would reasonably understand that they were clicking a link associated with you. Any technique designed to earn a Commission without the referred customer’s consent or knowledge is a breach of this Agreement, regardless of whether it is technically described as cookie stuffing, clickjacking, cookie overriding, or otherwise.

5.3. Other Prohibited Conduct. You must also not:

(a) refer yourself, or create or use accounts you control, to generate Commissions (“self-referral”);

(b) use bots, scripts, fake traffic, incentivized clicks, or fraudulent sign-ups;

(c) bid on the Company’s trademarks or run deceptive ads, spam, or unsolicited email;

(d) make false or misleading claims about RankBoostUp;

(e) violate any applicable law, including consumer-protection, anti-spam (e.g., CAN-SPAM/GDPR/ePrivacy), and privacy laws regarding cookies and tracking.

6. Verification, Audit, and Forfeiture

6.1. The Company may monitor, audit, and investigate referral traffic and attribution at any time, including reviewing technical signals such as referrer headers, cookie-setting behavior, click patterns, IP and device data, and the absence of a genuine user click.

6.2. The Company may, in its sole reasonable judgment, disqualify any Referral and withhold, reverse, or claw back any Commission that it determines was obtained through conduct prohibited by Section 5, or where the referred customer states or it reasonably appears that they had no knowledge of or did not consent to the referral attribution.

6.3. The Company’s determination of fraud or prohibited attribution under this Section is final, subject to good-faith review of any evidence you provide.

7. Chargebacks and Repayment

If Commissions are paid on Referrals later found to be invalid, fraudulent, or obtained in breach of Section 5, you agree to repay those amounts on demand, and/or the Company may offset them against current or future Commissions.

8. Representations

You represent and warrant that all traffic and Referrals you deliver are generated by genuine human users acting on their own informed initiative, and that you have not employed any technique that sets, alters, or overrides referral attribution without the referred user’s knowledge and consent.

9. Suspension and Termination

9.1. The Company may suspend or terminate your participation, withhold pending and unpaid Commissions, and forfeit accrued Commissions immediately and without notice if it reasonably determines you have breached Section 5 or engaged in fraud.

9.2. Either party may terminate participation in the Referral Program at any time for convenience on notice. Sections 5, 6, 7, 8, 10, and 11 survive termination.

10. Indemnification

You will indemnify and hold the Company harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your promotional methods, your breach of this Agreement, or your violation of any law or third-party right.

11. General

11.1. Modification. The Company may modify this Agreement or Commission rates at any time; continued participation constitutes acceptance.

11.2. Governing Law. This Agreement is governed by the laws of [___], without regard to conflict-of-laws rules.

11.3. Entire Agreement. This Agreement is the entire agreement between the parties regarding the Referral Program and supersedes prior understandings.

11.4. Severability. If any provision is held unenforceable, the remainder stays in effect.


Affiliate Acknowledgment: By participating in the RankBoostUp Referral Program, I confirm that I have read and agree to this Agreement, and specifically that I will not engage in cookie stuffing, clickjacking, forced cookies, or any other method of earning Commissions without the referred customer’s knowledge and consent.
